1. Introduction

These Terms of Service (“Terms”) govern your use of websites, applications, and services (“Services”) provided by Borough Nexus (“we”, “us”, “our”), a trading name of Borough Nexus Ltd.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2.1 Description

We provide software-as-a-service products for professionals. Each Service may have additional terms specific to that product, which will be provided at the point of registration or purchase.

2.2 Availability

We aim to provide reliable Services but do not guarantee uninterrupted access. We may:

  • Perform maintenance with or without notice
  • Modify features to improve the Service
  • Suspend access if we detect misuse

3. User Accounts

3.1 Registration

To use certain Services, you must create an account. You agree to:

4. Subscriptions and Payments

4.1 Pricing

Pricing for paid Services is displayed at the point of purchase. All prices are in GBP and include VAT where applicable.

4.2 Billing

  • Subscriptions are billed in advance on a recurring basis
  • Payment is processed via Stripe
  • You authorise us to charge your payment method automatically

4.3 Free Trials

Where offered, free trials:

  • Convert to paid subscriptions automatically unless cancelled
  • May only be used once per user
  • Provide full access to Service features

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Access continues until the end of the current billing period
  • No refunds are provided for partial periods
  • Your data remains available for export

5. Acceptable Use

You agree not to:

  • Use Services for any unlawful purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Services
  • Upload malicious code or content
  • Resell or redistribute the Services without permission
  • Use automated systems to access Services without approval
  • Impersonate others or misrepresent your affiliation

6. Intellectual Property

6.1 Our Rights

All content, code, designs, and trademarks associated with our Services remain our property. You may not copy, modify, or distribute our intellectual property without permission.

6.2 Your Content

You retain ownership of data and content you upload to our Services. By uploading content, you grant us a limited licence to store, process, and display it as necessary to provide the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages
  • We are not liable for loss of data, profits, or business opportunities

These limitations apply regardless of the cause of action.

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from:

  • Your violation of any third-party rights

14. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Borough Nexus.
